The former Managing Director of SIC Insurance Company Limited, Hollistar Duah-Yentumi, has initiated legal action against the company and its newly appointed Acting MD, Mr James Agyenim-Boateng.
The lawsuit follows her refusal to step aside after President John Dramani Mahama appointed Mr Agyenim-Boateng as her replacement on 27th January.
In her suit, filed on 4th February, Madam Duah-Yentumi contends that her appointment was contractually secured for a four-year term, set to expire on 1st January 2028.
She argues that any changes to her tenure must be sanctioned by the company’s Board of Directors or through a resolution by all shareholders at an Annual General Meeting.
According to her, the terms of her employment are strictly governed by her contractual agreement with SIC Insurance.
Madam Duah-Yentumi further insists that the termination of her employment is unlawful, as it contravenes the provisions of her contract.
She asserts that, under Clause 7 of the agreement, only the Board of Directors or the collective shareholders have the authority to end her tenure.
Consequently, she maintains that the appointment of Mr Agyenim-Boateng is both procedurally flawed and illegal.
As part of her legal reliefs, she is seeking a declaration from the High Court that the termination of her employment is null and void.
Additionally, she is requesting that the court overturn the appointment of Mr Agyenim-Boateng and reinstate her as the legitimate MD of SIC Insurance Company Limited.
Beyond reinstatement, Ms Duah-Yentumi’s legal team is demanding that the defendants be compelled to compensate her for the entire salary and benefits due for the remaining period of her contract.
